Racine advises FCA Bank S.p.A. within the context of the restructuring of its French subsidiaries
Racine advises FCA Bank S.p.A., banking captive of the Stellantis group within the context of the restructuring of its French subsidiaries.
In this transaction, the company FCA Capital France has been absorbed by FCA Bank S.p.A. and all of its assets has been assigned to the French branch of FCA Bank S.p.A., set up specifically for this purpose. Furthermore, FCA Bank S.p.A. become the majority shareholder of the company FCA Leasing France as a result of the merger-acquisition transaction.
All of these transactions, effective as of 1st December 2021, was subject to the prior approval of the European Central Bank, the Banca d’Italia and the Autorité de Contrôle Prudentiel et de Résolution.
Within the context of this transaction, FCA Bank S.p.A. was assisted by Racine with a team composed of:
